Affiliate Agreement

This Affiliate Agreement (the "Agreement") governs your participation in the SherpaPost affiliate programme (the "Programme"), operated by Clarity and Confidence Academy Ltd ("SherpaPost", "we", "us"). By joining the Programme, generating an affiliate link, or accepting a commission, you agree to this Agreement together with our Terms of Service and Privacy Policy.

1. The Programme and how it is tracked

The Programme is administered through FirstPromoter, which tracks clicks, signups and payments and calculates every commission. Stripe is connected to FirstPromoter as the billing provider, so purchases made on sherpapost.app and purchases made through our external funnel pages are both reported into the same account. Your FirstPromoter dashboard is the authoritative record of your referrals, balance and payouts. Any earlier in-app affiliate dashboard is kept for historical reference only and no longer creates new commissions.

2. Eligibility

You may join the Programme if you are at least 18 years old, you have the legal capacity to enter into this Agreement, and you comply with all laws that apply to you. You must register with accurate details and keep them current. We may decline or close an application at our discretion. Employees and contractors of SherpaPost are not eligible.

3. Eligible Products and commission rates

Commission is payable only on Eligible Products listed in the current SherpaPost Partner Commission Schedule, set out in section 4 below. The Schedule identifies the eligible products and plans, the applicable Tier 1, Tier 2 and Tier 3 rates, the commission duration where one applies, the effective start and end dates, and any product-specific conditions or exclusions.

Products, plans, services, renewals, upgrades, credit top-ups, usage refills, coaching, live programmes, private experiences and other transactions are not commissionable unless they are expressly identified as Eligible Products in the current Partner Commission Schedule.

We may add, remove or amend Eligible Products and commission rates for future transactions by updating the Partner Commission Schedule. A change never reduces a commission already validly earned on an eligible transaction before the effective date of that change.

September rates apply only to eligible payments successfully settled by 30 September 2026. Private experiences may be eligible only for September 2026 and only while available; they do not renew and do not create recurring commission. From 1 October 2026, private experiences, coaching, live programmes, workshops, masterminds and other founder-delivered services are excluded unless a future Schedule expressly includes them.

The rate that applies to a purchase is the rate in force on the date the payment is successfully settled, not the date you shared the link. The product list in FirstPromoter holds the corresponding billing-provider plan and price IDs for configuration and internal records.

5. Commission basis and eligible transactions

Commission is calculated on eligible net revenue actually received by SherpaPost. Eligible net revenue excludes VAT, GST, sales tax and other applicable taxes, discounts and coupon reductions, refunds, chargebacks and payment disputes, failed, reversed or fraudulent payments, and payment-processing fees.

A commission is earned only when a new customer completes an eligible, settled purchase through a valid partner referral link or through a qualifying three-tier partner network. No commission is paid for joining the Programme, for introducing or enrolling a partner by itself, for free access, free trials, gifted access or $0 purchases, for a customer purchasing through their own referral link, or for any transaction not listed in the current Partner Commission Schedule.

6. Three-tier structure

Where an eligible sale is correctly attributed, commission may be paid across up to three levels:
• Tier 1: the partner whose referral link directly led to the customer purchase.
• Tier 2: the partner who introduced the Tier 1 partner.
• Tier 3: the partner who introduced the Tier 2 partner.

The applicable percentages are the ones in the current Partner Commission Schedule. Commission is tied to eligible SherpaPost customer purchases; it is not paid for recruiting partners or for building a partner network.

7. Membership commissions

Where a recurring membership is listed as eligible in the Schedule, commission may apply for up to the first 12 successful paid membership months, beginning with the customer's first paid membership payment.

A person who first has free access, or who buys a one-off eligible SherpaPost tool, and later begins their first paid membership may qualify as a first paid membership conversion if that membership is eligible in the current Schedule. Paid membership upgrades do not create a new commission event and do not restart the commission period. When a customer cancels, no further membership commission is payable; if that customer later reactivates or returns, the original attribution does not resume unless we confirm otherwise in writing.

8. Permanent exclusions

Unless expressly included in a current Partner Commission Schedule, the following are not commissionable:
• Standalone credit top-ups.
• Usage-credit refills.
• Campaign refills and capacity top-ups.
• Paid membership upgrades.
• Free access and free trials.
• Refunds, chargebacks, failed payments and reversed payments.
• Taxes and discounts.

9. Attribution

Attribution is last-click, based on a 90-day cookie set when a visitor arrives through your affiliate link, and on the email address used at signup or checkout. Where a customer arrives through more than one affiliate link, the most recent valid click wins. If a customer already has a SherpaPost account or an existing attribution, no new attribution is recorded.

Self-referrals are not eligible: you may not earn on your own purchases, on accounts you control, or on purchases by members of your own household. Such commissions are reversed.

10. Holding period and payouts

Commissions are reviewed and paid 45 days after the end of the calendar month in which the eligible payment was successfully received. A commission stays provisional until the payment has cleared the relevant refund, cancellation and chargeback review period. The window is set at 45 days so that it fully covers our money-back guarantee period and any chargeback raised shortly after it – a commission is only approved once the underlying payment can no longer be reversed. Approved commissions are paid once your balance reaches $40 USD, in USD, through the payout method you set up in FirstPromoter. Any bank, currency-conversion or intermediary fees on your side are yours to carry. Balances that stay below the threshold roll forward.

The 45-day hold is counted from the end of the month in which the payment was received.

11. Taxes

You act as an independent business, not an employee, agent, partner or joint venturer of SherpaPost. You are solely responsible for reporting and paying any income tax, VAT, GST or other tax owed on your commissions. Commissions are paid gross unless withholding is required by law. Where we are legally required to collect tax information before paying you, we may hold payouts until you provide it.

12. How you may promote SherpaPost

You may promote SherpaPost through your own content, email list, community, social profiles, podcast, or paid advertising that complies with this Agreement. You must present the product accurately and use only claims we publish or that reflect your own genuine experience.

You must not:
• Send unsolicited email, DMs or messages ("spam").
• Bid on the SherpaPost brand name, misspellings, or our domain in paid search, or run ads that appear to come from SherpaPost.
• Register domains, social handles, app names or profiles containing "SherpaPost" or confusingly similar variants.
• Impersonate SherpaPost, its founder or its team, or imply a partnership beyond "affiliate".
• Make misleading claims about SherpaPost, its features, prices, results or availability.
• Make guaranteed, typical or unsubstantiated income claims about the Programme, or suggest that income is earned merely by joining, recruiting partners or building a network.
• Misrepresent yourself as an employee, agent or authorised representative of SherpaPost.
• Offer cash-back, rebates or other incentives we have not approved in writing.
• Use cookie stuffing, iframe injection, adware, browser extensions, auto-redirects, or anything that sets an affiliate cookie without a genuine, informed click.
• Promote SherpaPost alongside adult content, hate speech, harassment, or anything unlawful.
• Post your affiliate link to coupon, cashback or deal aggregators without our written approval.

13. Disclosure

You must clearly disclose your affiliate relationship every time you promote SherpaPost, in line with the rules where you and your audience are located — for example the FTC Endorsement Guides in the US, ASA guidance in the UK, and equivalent EU consumer-protection rules. A short, plain-language disclosure such as "affiliate link" or "I earn a commission if you buy" is the minimum.

14. Brand use

We grant you a limited, non-exclusive, revocable licence to use the SherpaPost name, logo and approved marketing assets solely to link to SherpaPost and to identify yourself as an affiliate. You may not alter our logo, use it as your own brand mark, or use it in a way that suggests we endorse your other products. This licence ends when your participation ends.

15. Reversals, fraud and clawbacks

Commissions attached to refunded payments, chargebacks, fraudulent transactions, or accounts that breach our Terms of Service are reversed. Where a reversal happens after a payout has been issued, we may offset it against future commissions or invoice you for the difference. We may audit referral activity at any time and hold a payout we reasonably believe to be fraudulent while we investigate.

16. Confidentiality and customer data

Customer names, email addresses and purchase details you see through the Programme belong to SherpaPost. You may not scrape, export, resell or use them outside the Programme, and you must handle any personal data you collect in your own promotion in line with applicable data-protection law.

17. Term and termination

This Agreement starts when you join the Programme and continues until either side ends it. You may leave at any time from your FirstPromoter dashboard. We may suspend or end your participation at any time, with or without notice, if we believe you have breached this Agreement, harmed the SherpaPost brand, or acted fraudulently. On termination you must stop using our name, logo and links. Approved commissions from clean activity are still paid on the normal schedule; pending commissions may be cancelled where the termination follows a breach.

18. No warranty, limitation of liability

The Programme is provided "as is". We do not guarantee any level of traffic, conversion, earnings, or that tracking will be free of interruption. To the maximum extent permitted by law, our total liability under this Agreement is limited to the commissions payable to you in the 6 months before the event giving rise to the claim.

19. Changes

We may update this Agreement and the Programme's commission structure. Material changes are announced in-app, by email, or in FirstPromoter at least 14 days before they take effect, except where a change is needed to comply with law or to stop abuse. The scheduled rate change on 1 October 2026 – Tier 1 to 15%, Tier 2 to 10%, Tier 3 to 3% – is part of this Agreement and needs no further notice. Continued participation after a change takes effect means you accept it.

20. Governing law

This Agreement is governed by the laws of Bulgaria. Disputes are resolved by the competent courts of Veliko Turnovo, Bulgaria, without prejudice to any mandatory consumer-protection rights available to you under the law of your country of residence.
