Affiliate Terms

To participate you must (a) have an active paid SherpaPost subscription (Pro, Pro+, or Sherpa Labs), (b) be at least 18 years old, and (c) comply with all applicable laws in your jurisdiction. Commissions only accrue while your own paid plan is active. If you cancel or downgrade to Free, your referral link stops generating new commissions; already-earned pending commissions still pay out on schedule.

You earn 30% recurring commission for 12 months on every successful Pro and Pro+ subscription payment made by a user you referred, and 15% recurring commission for 12 months on Sherpa Labs payments. Commissions are calculated on the net amount actually received by SherpaPost (after Stripe fees, refunds, chargebacks, taxes, and discounts).

Attribution is first-touch and based on a 90-day cookie set when someone visits SherpaPost through your referral link. If a visitor already has an attribution to another affiliate, or already has a SherpaPost account, no attribution is recorded. Self-referrals (referring your own accounts, family members in the same household, or accounts you control) are not eligible and will be reversed.

Commissions are recorded as pending when a referred invoice is paid, and become eligible for payout after a 30-day holding window designed to cover refunds and chargebacks. Payouts are issued once your eligible balance reaches $40 USD. Payouts are made in USD via the payment method you set up in your affiliate profile. You are responsible for any bank, currency-conversion, or intermediary fees on your side.

You are solely responsible for reporting and paying any income, VAT, GST, or other taxes owed on commissions you receive, in accordance with the laws of your country of residence. Commissions are paid gross unless withholding is required by law. If we are legally required to collect tax information (e.g. a W-8BEN, W-9, or VAT number) before paying you, we may pause payouts until you provide it.

You must not:
• Send unsolicited email, DMs, or messages ("spam") promoting SherpaPost.
• Bid on the SherpaPost brand name, misspellings, or our domain in paid search (Google, Bing, YouTube, etc.).
• Register domains, social handles, or app names that include "SherpaPost" or confusingly similar variants.
• Impersonate SherpaPost, its founder, or its team, or imply an official partnership beyond "affiliate".
• Make false, misleading, or unverifiable claims about the product, results, or income.
• Offer unauthorized cash-back, rebates, or incentives that we have not approved in writing.
• Use cookie-stuffing, iframe injection, adware, browser extensions, or any technique that sets the referral cookie without a genuine, informed click.
• Promote SherpaPost on sites that contain adult content, hate speech, harassment, or content that violates applicable laws.

You must clearly disclose your affiliate relationship whenever you promote SherpaPost, in accordance with the rules of your jurisdiction (for example, the FTC Endorsement Guides in the US, ASA guidance in the UK, and equivalent EU consumer-protection rules). A short, plain-language disclosure such as "affiliate link" or "I earn a commission if you subscribe" is the minimum.

We grant you a limited, non-exclusive, revocable licence to use the SherpaPost name and logo solely to link to sherpapost.app and identify yourself as an affiliate. You may not modify our logo, use it as your own brand mark, or use it in a way that implies endorsement of you or your other products.

Commissions tied to refunded invoices, chargebacks, fraudulent payments, or accounts that violate our Terms of Service will be reversed. If reversals occur after a payout has been issued, we may offset the amount against future commissions or invoice you for the difference. We may audit referral activity at any time and withhold payouts we reasonably believe to be fraudulent while we investigate.

We may suspend or terminate your participation in the Program at any time, with or without notice, if we believe you have breached these Terms, harmed the SherpaPost brand, or engaged in fraudulent activity. On termination, any pending commissions from clean, non-fraudulent activity will still pay out on the normal schedule. You may leave the Program at any time by disabling your referral link from your affiliate dashboard.

You participate in the Program as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and SherpaPost.

We may update these Terms from time to time. Material changes will be communicated in-app or by email at least 14 days before they take effect. Your continued participation after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of Bulgaria. Disputes will be resolved by the competent courts of Veliko Turnovo, Bulgaria, without prejudice to any mandatory consumer-protection rights available under the law of your country of residence.
