Terms of Service

1. Who we are
SherpaPost (“SherpaPost”, “we”, “us”, “our”) is operated by Clarity and Confidence Academy Ltd, a company registered in Bulgaria (EIK 205736702, VAT BG205736702), with its registered address at 25, Kniaz Dondukov Korsakov Street, 5000 Veliko Turnovo, Bulgaria. Contact: support@sherpapost.app.
2. The service
SherpaPost is a web application that lets you compose social media posts and preview how they will render across supported platforms. We may add, change, or remove features at any time and will give reasonable notice of material changes.
3. Your account
You must be at least 16 years old (or the minimum age in your country) to create an account. You are responsible for the activity on your account and for keeping your login credentials confidential. Notify us promptly if you suspect unauthorized access.
4. Acceptable use
You agree not to: (a) upload content that is unlawful, infringing, harmful, or that violates someone else’s rights; (b) attempt to break, reverse-engineer, or interfere with SherpaPost; (c) use SherpaPost to send spam, malware, or to harass others; (d) scrape or resell the service. We may suspend or terminate accounts that violate these terms.
5. Your content
You retain ownership of text, images, video and other content you upload. You grant us a limited, worldwide, royalty-free license to host, process, and display your content solely to provide the service to you (for example, to render previews and store your drafts). You are responsible for ensuring you have the right to use the content you upload.
6. Paid plans & billing
Paid plans (e.g. Pro, Pro+, ACA Laboratory) are billed in advance on a recurring basis through our payment processor (Stripe). Prices are shown on the pricing page and exclude any applicable taxes. SherpaPost offers a free plan so you can evaluate the service before subscribing.
6a. Refunds & cancellations
SherpaPost is billed in advance on a subscription basis. Except where required by applicable law, all fees and charges are non-refundable and non-creditable, including for partial billing periods, unused features, or downgrades.
You can cancel a paid plan at any time from your account. When you cancel, your current paid period continues until its end date and your account automatically moves to the free plan (or is closed, if you prefer). Cancelling stops future renewals; it does not automatically trigger a refund, except where we are legally required to provide one.
Nothing in these Terms affects any mandatory statutory rights you may have as a consumer under the laws of your country of residence.
6b. Local consumer rights
If you are a consumer, you may have additional legal rights to withdraw from or cancel an online contract, obtain a refund, or receive a repair, replacement or price reduction under the consumer-protection laws of your country (for example, in the EU/EEA, the United Kingdom and certain Canadian provinces). Where those mandatory rights apply, we will honour them and these Terms do not limit them.
6c. EU/UK cooling-off & immediate access
By starting a paid SherpaPost subscription, you request immediate access to the service and acknowledge that you will lose any right to withdraw once the service has been fully performed. If you are an EU/EEA or UK consumer, you may have a legal right to withdraw from your subscription within a statutory cooling-off period (typically 14 days). Where the law allows, we may deduct an amount that is proportionate to the services already provided up to the time you tell us you are exercising that right.

7. AI features
SherpaPost’s “AI enhance” features generate suggestions using third-party AI models. Output may be inaccurate, biased, or unsuitable for your use case. You are responsible for reviewing AI output before publishing it. Monthly AI usage is metered as described on the pricing page.
8. Third-party platforms
SherpaPost is an independent product. Instagram, Facebook, LinkedIn, X, Threads, Pinterest, TikTok, and YouTube are trademarks of their respective owners. We are not affiliated with, endorsed by, or sponsored by these platforms. Previews are best-effort approximations and may differ from live results on the actual platforms.
9. Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that previews will exactly match the appearance on any third-party platform.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the service in any 12-month period is limited to the amount you paid us during that period (or EUR 50 if you are on the free plan). We are not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these terms limits liability that cannot be limited under applicable law (including consumer rights and liability for gross negligence or wilful misconduct).
11. Termination
You may stop using SherpaPost at any time and delete your account from the dashboard. We may suspend or terminate your access if you breach these terms or if required by law. On termination, your right to use the service ends; sections that by their nature should survive (e.g. ownership, disclaimers, limitation of liability) will survive.
12. Changes to these terms
We may update these terms from time to time. If we make material changes we will notify you (e.g. by email or in-app notice) before they take effect. Continued use of SherpaPost after the effective date means you accept the updated terms.
13. Governing law
These terms are governed by the laws of Bulgaria, without regard to its conflict-of-laws rules. Courts of Veliko Turnovo, Bulgaria have exclusive jurisdiction, except that consumers may also bring claims in the courts of their country of residence as provided by mandatory local law.
