Terms of Service

1. Who we are
SherpaPost (“SherpaPost”, “we”, “us”, “our”) is operated by Clarity and Confidence Academy Ltd, a company registered in Bulgaria (EIK 205736702, VAT BG205736702), with its registered address at 25, Kniaz Dondukov Korsakov Street, 5000 Veliko Turnovo, Bulgaria. Contact: support@sherpapost.app.
2. The service
SherpaPost is a web application for writing, rewriting and previewing social media posts. It currently includes the Previewer (with Clean & Translate and Spacious), Magnetise (rewrites and hooks), Sherpa Dictate (voice notes and transcription), Campaign Studio (campaign Sets) and the Visibility Planner (a reflection space). We may add, change, or remove features at any time and will give reasonable notice of material changes.
3. Your account
You must be at least 16 years old (or the minimum age in your country) to create an account. You are responsible for the activity on your account and for keeping your login credentials confidential. Notify us promptly if you suspect unauthorized access. Accounts are personal: access, credits and lifetime purchases are for one person and may not be shared, resold or transferred.
4. Acceptable use
You agree not to: (a) upload content that is unlawful, infringing, harmful, or that violates someone else’s rights; (b) attempt to break, reverse-engineer, or interfere with SherpaPost; (c) use SherpaPost to send spam, malware, or to harass others; (d) scrape or resell the service. We may suspend or terminate accounts that violate these terms.
5. Your content
You retain ownership of text, images, video, audio recordings and other content you upload. You grant us a limited, worldwide, royalty-free license to host, process, and display your content solely to provide the service to you (for example, to transcribe a voice note, generate a rewrite, render previews and store your drafts). You are responsible for ensuring you have the right to use the content you upload.
6. What you can buy
SherpaPost sells three kinds of thing, all through our payment processor (Stripe). Prices shown at checkout include applicable VAT unless stated otherwise.
• One-time purchases — for example the Magnetic Content Kit, the Visibility Planner, Sherpa Dictate, credit packs and campaign packs. You pay once; nothing renews. What is included is described on the page where you buy it.
• Lifetime access purchases — the Powerkit and SuperPowerkit. You pay once and nothing renews. “Lifetime” means for as long as we operate SherpaPost as a commercially available service; it is not a promise that the service will exist forever, and it does not include future separately-sold products unless we say so. Licence counters shown on our pages are a marketing device we may adjust or retire; they do not create a legal entitlement.
• Subscriptions — for example Pro, Pro+ and Sherpa Labs, billed in advance and renewing automatically until cancelled. Launch-cohort pricing, where offered, applies only while the subscription stays continuously active.
Live sessions (orientation calls, labs, VIP days) are scheduled services. If you do not attend without giving us at least 24 hours’ notice, the session is treated as delivered.
6a. Credits and campaigns
Sherpa credits and campaign units are an internal usage allowance, not money, not a security, and not redeemable for cash. Bonus credits granted daily do not roll over to the next day. Credits included with a subscription reset at the start of each billing period and are not carried forward. Credits bought in a pack do not expire while your account is open. Credits and campaigns cannot be transferred between accounts, and unused credits are not refundable except where the law requires it. Where we grant credits, tools or campaigns as a gift or goodwill gesture, we may set conditions for them and they carry no cash value.
6b. Refunds & cancellations
14-day refund on one-time and lifetime purchases. If a one-time or lifetime purchase is not right for you, email us within 14 days of the payment and we will refund it in full, provided the account has spent no more than 20 Sherpa credits and 3 campaign units since that purchase. Above that level of use we may decline or reduce the refund, and we may also decline where we reasonably believe the request is abusive or repeated.
Subscriptions. You can cancel at any time from your account. Cancelling stops future renewals; your current paid period runs to its end date and the fee already paid for that period is not refunded, except where the law requires it or where we agree otherwise.
Scheduled live sessions can be rescheduled once with at least 24 hours’ notice; missed sessions are not refunded.
Nothing in these Terms affects any mandatory statutory rights you may have as a consumer under the laws of your country of residence.
6c. Local consumer rights
If you are a consumer, you may have additional legal rights to withdraw from or cancel an online contract, obtain a refund, or receive a repair, replacement or price reduction under the consumer-protection laws of your country (for example, in the EU/EEA, the United Kingdom and certain Canadian provinces). Where those mandatory rights apply, we will honour them and these Terms do not limit them.
6d. EU/UK cooling-off & immediate access
By buying access to SherpaPost, you request immediate access to the service and acknowledge that you will lose any right to withdraw once the service has been fully performed. If you are an EU/EEA or UK consumer, you may have a legal right to withdraw within a statutory cooling-off period (typically 14 days). Where the law allows, we may deduct an amount that is proportionate to the services already provided (including credits already spent) up to the time you tell us you are exercising that right.

7. AI features
Magnetise, Campaign Studio, Clean & Translate, transcription and similar features generate output using third-party AI models. Output may be inaccurate, biased, or unsuitable for your use case, and the same input will not produce the same output twice. You are responsible for reviewing anything you publish. AI usage is metered in Sherpa credits and campaign units as described on the pricing page. We make no promise about reach, engagement, followers, leads or income from anything produced with SherpaPost; results shown on our pages are individual experiences, not typical outcomes.
8. Third-party platforms
SherpaPost is an independent product. Instagram, Facebook, LinkedIn, X, Threads, Pinterest, TikTok, and YouTube are trademarks of their respective owners. We are not affiliated with, endorsed by, or sponsored by these platforms. Previews are best-effort approximations and may differ from live results on the actual platforms.
9. Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that previews will exactly match the appearance on any third-party platform.
9a. Services we depend on, and discontinuation
SherpaPost runs on third-party infrastructure — hosting and edge runtime, database, authentication and storage, payment processing, email delivery, and AI model providers. If one of those providers changes its terms, raises its prices, restricts an API, degrades, or stops operating, a SherpaPost feature may be delayed, reduced, changed, or withdrawn. Where that happens we will use reasonable efforts to substitute a comparable provider or an equivalent feature, but we cannot guarantee that any specific model, provider or feature remains available.
If we have to discontinue SherpaPost entirely (including because a provider we depend on makes it unviable), we will give you reasonable advance notice by email, stop selling and stop renewals, and let you export or delete your data during a wind-down window. In that case: any prepaid subscription period not yet delivered is refunded pro rata; a lifetime purchase made within the 12 months before we announce the shutdown is refunded on a pro-rated basis over that 12-month period; older lifetime purchases, spent credits and delivered live sessions are not refunded. This is our whole responsibility for discontinuation, and it does not cover your indirect losses such as lost revenue, lost audience, lost time or the cost of replacement tools.
We are also not responsible for failures caused by events outside our reasonable control (force majeure), including provider outages, internet or network failures, cyber-attacks, changes in law, or a third-party platform changing or blocking how content can be posted.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the service in any 12-month period is limited to the amount you paid us during that period (or EUR 50 if you have paid us nothing in that period). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost audience, lost content or lost goodwill. Nothing in these terms limits liability that cannot be limited under applicable law (including consumer rights and liability for death, personal injury, fraud, gross negligence or wilful misconduct).
11. Termination
You may stop using SherpaPost at any time and delete your account from the dashboard. We may suspend or terminate your access if you breach these terms or if required by law. On termination, your right to use the service ends; sections that by their nature should survive (e.g. ownership, disclaimers, limitation of liability) will survive.
12. Changes to these terms
We may update these terms from time to time. If we make material changes we will notify you (e.g. by email or in-app notice) before they take effect. Continued use of SherpaPost after the effective date means you accept the updated terms.
13. Governing law
These terms are governed by the laws of Bulgaria, without regard to its conflict-of-laws rules. Courts of Veliko Turnovo, Bulgaria have exclusive jurisdiction, except that consumers may also bring claims in the courts of their country of residence as provided by mandatory local law.
